We are CalenDue (“Company,” “we,” “us,” “our”), a company registered in Canada at 1322 Ave G North, Saskatoon, Saskatchewan S7L 2A7.
We operate https://www.calendue.ai and related services. CalenDue is an AI-powered productivity and scheduling platform that helps students organize their academic schedules.

By accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE, DISCONTINUE USE IMMEDIATELY.

1. Our Services

By using the Services, you represent that: (1) you have the legal capacity to agree to these Legal Terms; (2) you are not a minor in your jurisdiction; (3) you will not access the Services through automated means; (4) you will not use the Services for illegal purposes; and (5) your use will not violate any applicable law.
4. Purchases and Payment
All purchases are non-refundable. You agree to provide accurate purchase and account information. We may change prices at any time.
5. Prohibited Activities
You may not use the Services for any purpose other than that for which we make them available. Prohibited activities include but are not limited to: systematically retrieving data to build a database; tricking or defrauding other users; circumventing security features; harassing other users; uploading viruses or malicious code; engaging in automated use of the system; attempting to impersonate another user; or using the Services for commercial endeavors not endorsed by us.
6. User Generated Contributions
If you create or make available any Contributions, you represent and warrant that you have all necessary rights to do so and that your Contributions comply with these Legal Terms and applicable law.
7. Contribution License
By submitting suggestions or feedback, you agree that we can use and share such feedback for any purpose without compensation. You retain ownership of your Contributions.
8. Services Management
We reserve the right to monitor the Services for violations of these Legal Terms, take appropriate legal action against violators, and remove content that is excessive in size or burdensome to our systems.
9. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by it. The Services are hosted in Canada and the United States.
10. Term and Termination
These Legal Terms remain in effect while you use the Services. We reserve the right to deny access to any person for any reason, including breach of these Legal Terms, without notice or liability.
11. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times.
12. Governing Law
These Legal Terms shall be governed by the laws of Canada. Both parties consent to the exclusive jurisdiction of the courts of Canada.
13. Dispute Resolution
Parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days. Any unresolved dispute shall be referred to binding arbitration under the International Commercial Arbitration Court (European Arbitration Chamber), with the seat of arbitration in Saskatoon, Canada.
14. Corrections
We reserve the right to correct any errors, inaccuracies, or omissions on the Services at any time without prior notice.
15. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US OR $100 CAD.
17. Indemnification
You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, or claim arising from your use of the Services, breach of these Legal Terms, or violation of any third party's rights.
18. User Data
We will maintain certain data you transmit to the Services for managing performance. Although we perform regular backups, you are solely responsible for all data you transmit or that relates to activity you have undertaken using the Services.
19. Electronic Communications, Transactions, and Signatures
Visiting the Services and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements provided electronically satisfy any legal requirement that such communication be in writing.
20. California Users and Residents
If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210.
21. Miscellaneous
These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. If any provision is determined to be unlawful or unenforceable, it is deemed severable and the remaining provisions remain in effect.
